- [F1]The reported transaction reflects a pro rata transfer to the Reporting Person's partners in Stubbs Alderton & Markiles, LLP (the "Law Firm"). The Reporting Person is a partner in the Law Firm. While the Reporting Person receives the shares of Common Stock for service as a director, the Reporting Person holds such shares for the benefit of the Law Firm, and reserves the right to cause the shares to be transferred to the partners of the Law Firm in accordance with their pecuniary interests therein. The Issuer agreed to issue, as partial annual compensation for the Reporting Person's service as a director, a number of shares of the Common Stock of the Issuer having a value equal to $60,000 at $0.50 per share, which shares vest in four equal quarterly installments commencing on July 1, 2016.
