- [F2]The reporting person's purchase of the issuer's common stock reported herein was matchable under Section 16(b) of the Securities Exchange Act of 1934, to the extent of 6,666 shares, with the reporting person's sale of 5,000 shares of the issuer's common stock at a price of $6.82 per share on February 28, 2020 and 1,666 shares of the issuer's common stock at a price of $6.71 per share on February 28, 2020. The reporting person has agreed to pay to the issuer, upon settlement of the purchase, $8,694.46 (of which $3,211.62 has already been previously paid), representing the full amount of the profit realized in connection with the short-swing transaction plus interest of 3.25% per annum on such previously unpaid amounts, less transaction costs.
