OTHER INFORMATION Insider Adoption or Termination of Trading Arrangements During the quarter ended December 31, 2024, no director or officer (as defined in Rule 16a-1(f) under the Exchange Act) of the Company informed us of the adoption or termination of any Rule 10b5-1 trading arrangements or non-Rule 10b5-1 trading arrangements (in each case, as defined in Item 408 of Regulation S-K), other than, on November 5, 2024, Donald Barton, a director, adopted a Rule 10b5-1 trading arrangement providing for the sale of 375 shares of our common stock each month for a total of up to 4,500 shares of our common stock. The trading arrangement is intended to satisfy the affirmative defense in Rule 10b5-1(c). The duration of the trading arrangement is until February 11, 2026, or earlier if all transactions under the trading arrangement are completed.
