- [F1]On February 23, 2024, Mr. Herz withdrew 11,793 shares of Class A Common Stock from the Robert H. Herz Irrevocable Trust in exchange for a promissory note. In addition, on February 23, 2024, Mr. Herz exchanged 12,500 shares of Class A Common Stock with the Robert H. Herz Irrevocable Trust on a one for one basis without additional consideration, such that the final amount of Class A Common Stock owned by each of Mr. Herz and the Robert H. Herz Irrevocable Trust following the share exchange remained unchanged. Mr. Herz believes that each of these exchanges constitutes a change in the form of beneficial ownership of the shares, exempt under Rule 16a-13 of the Securities Exchange Act of 1934.
