ITEM 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 13, 2025, the Board of Directors (“the Board”) of Skkynet Cloud Systems, Inc. (“the Company”) appointed Mr. John Adiletta as the new Chairman of the Board, effective immediately. Mr. Adiletta will serve as the Chairman of the Board until the Company’s next annual meeting of stockholders. Mr. Adiletta has been an independent Director and member of the Board and Audit Committee since October 2014, and he brings significant experience to the Board as it plans its future areas of business.

On March 13, 2025, Mr. Andrew Thomas resigned his position as Chairman of the Board, and remains as Chief Executive Officer and a Director of the Company.
