The consideration for the transfer was the transactions being consummated between the issuer and John Keeler & Co., Inc. d/b/a Blue Star Foods ("Blue Star"), pursuant to which the issuer acquired all of the issued and outstanding shares of Blue Star, and the resulting potential increase in the value of the remaining shares that Mr. Gostfrand continued to hold following such transaction.
