The grant and any issuances thereunder are exempt from Section 16(b) of the Securities Exchange Act of 1934 by virtue of Rule 16b-3 promulgated thereunder, as it was approved by the Board of Directors of the Issuer. The restricted stock units vest in four equal quarterly installments with each vesting occurring on the final business day of each quarter over the period of one year with the first vesting on June 30, 2024, subject to continued service as a director of the Issuer on each applicable vesting date.
