- [F1]In connection with the 2020 annual meeting of stockholders, Reporting Person was granted restricted stock units with respect to shares of the Issuer's Common Stock on June 3, 2020, pursuant to the Issuer's 2017 Long Term Incentive Plan. The restricted stock units are scheduled to vest on the first anniversary of its grant-date and be delivered to the Reporting Person in shares within 30 days after June 3, 2021 (subject to accelerated vesting and delivery on specified terminations of the Reporting Person's service or a change in control of the Issuer). The number of shares was determined by dividing the award value of $187,500 to account for the fact that Reporting Person had already served one year as Chairman by the time of such award by $15.83 (which was the volume weighted average price of a share for the 30 trading day period ending on June 2, 2020).
