Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Departure of Officer

Mr. David Herrera, who served as President, Norwegian Cruise Line, departed Norwegian Cruise Line Holdings Ltd. (the “Company”), which is the direct parent company of NCL Corporation Ltd., on August 20, 2025, as part of a strategic leadership change. Mr. Harry Sommer, President and Chief Executive Officer of the Company, will assume Mr. Herrera’s day-to-day responsibilities on an interim basis while the Company conducts a robust search for Mr. Herrera’s successor.

The Company remains committed to achieving its 2026 Charting the Course financial targets. Guidance for the full year 2025, which the Company provided in its second quarter 2025 earnings release on July 31^st, remains unchanged.
