- [F1]On February 24, 2025, the reporting person and his spouse withdrew 24,972 shares of common stock of the Issuer from a grantor retained annuity trust established for the benefit of himself and his two adult children. In exchange for the shares, the reporting person contributed to the trust an amount of cash equal to the value of the shares as determined based on the average of the high and low trading prices of the Issuer's common stock as reported on February 24, 2025. As a result of the withdrawal of shares from the trust, the reporting person no longer beneficially owns any shares indirectly through the trust, but now directly owns a correspondingly increased number of shares. The reporting person believes that this withdrawal of shares from the trust constitutes a change in form of beneficial ownership of the shares, exempted by Rule 16a-13 under the Securities Exchange Act of 1934.
