- [F2]Pursuant to a Company option cancellation program, and by mutual agreement of the Reporting Person and the Company, each vested and outstanding option to purchase common stock of the Company held by the Reporting Person was cancelled in exchange for a cash payment to the Reporting Person. The Reporting Person received a total of $306,540 as consideration for the cancellation of all options listed on this Form 4, an amount arrived at by multiplying (i) the number of options cancelled by (ii) the Company's stock price on February 20, 2020, less the exercise price of such options.
