Item 5.02	Departure of Directors or Certain Officers

On July 16, 2018, Michael L. Bennett, Nassef Sawiris, Francis G. Meyer, Dod A. Fraser and Nathaniel A. Gregory, each a member of the Board of Directors (the “Board”) of OCI GP LLC, the general partner (the “General Partner”) of OCI Partners LP (the “Partnership”), resigned from the Board and ceased to be directors of the General Partner. These resignations were effective immediately and were not a result of any disagreement with the Partnership.
