(the "Issuer") granted the reporting person 4,924.49 shares of restricted common stock pursuant to a Restricted Stock Award Agreement under the Independent Directors' Compensation Plan ("Plan"). The shares of restricted common stock granted to the reporting person pursuant to the Plan vest and become non-forfeitable 50% on the first anniversary of the award date and 50% on the second anniversary of the award date; provided, however, that the restricted common stock will become fully vested on the earlier to occur of (i) the termination of the reporting person's service as a director due to his death or disability, or (ii) a change in control of the Issuer.
