GOOGE, and CHAD DAVIS signing individually, as the undersigned’s true and lawful attorneys-in fact and agents to: (1) execute for and on behalf of the undersigned, in the undersigned's capacity as an officer, director and/or more than 10% stockholder of Malibu Boats, Inc.
