Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 11, 2025 the Board of Directors (the “Board”) of the Company elected Christa Steele as a member of the Board, effective January 1, 2026. Ms. Steele was appointed to serve on the Audit Committee and as Chair of the Corporate Governance, Nominating, Environmental, and Health and Safety Committee, effective January 1, 2026.

There is no arrangement or understanding between Ms. Steele and any other person pursuant to which she was selected as a director, and Ms. Steele does not have any direct or indirect material interest in any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K.

Ms. Steele will receive the same compensation as the Company’s other non-employee directors as described under “Corporate Governance-Compensation of Directors” in the Company’s definitive proxy statement filed with the Securities and Exchange Commission on April 4, 2025.

On November 17, 2025, the Company issued a press release announcing the election of Ms. Steele. A copy of the Company’s press release is attached hereto as Exhibit 99.1 to this Current Report on Form 8-K.
