Item 5.02 Departure of Directors or Certain Officers; Appointment of Certain Officers; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 12, 2023, Jeffrey M. Tuder resigned as director of Unico American Corporation (the “Company”) and as director of the subsidiaries of the Company (the “Companies”), which resignation was effective immediately. Mr. Tuder’s resignation from the board of directors of the Companies did not result from any disagreement with the Companies.
