- [F1]Pursuant to the Agreement and Plan of Reorganization dated May 13, 2015 between Issuer, 1st Portfolio Holding Corporation ("FP Holding"), and John Oswald, solely in his capacity as the FP Representative ("Merger Agreement"), FP Holding was merged with and into Issuer, and each issued and outstanding share of FP Holding common stock was converted into the right to receive .4803 shares of common stock of the Issuer. At closing, a portion of the merger consideration consisting of Issuer common stock was placed into escrow to secure certain indemnification obligations of the FP Holding Indemnity Securityholders. On August 1, 2016, the shares of Issuer common stock were released from escrow.
