ITEM 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 15, 2025, Mr. Robert Cook notified Wytec International, Inc., a Nevada corporation (“Wytec”), of his resignation as a director of Wytec and as a member and chairman of Wytec’s audit committee, effective on August 15, 2025. Wytec has accepted Mr. Cook’s voluntary resignation as a director of Wytec and as a member and chairman of Wytec’s audit committee. Mr. Cook resigned voluntarily for personal reasons. Wytec has not yet identified a replacement to fill the vacancy on the board of directors created by Mr. Cook’s resignation.
