At the effective time of the Merger (the "Effective Time"), each share of SB One common stock issued and outstanding immediately prior to such time was converted into the right to receive 1.357 shares of Provident common stock, with a market value of $18.52 per share of SB One common stock based on the closing price of Provident common stock on July 31, 2020.
