The Paired Interests have no expiration date and are convertible at the holder's election at any time. The holder of Class B Units has the right to exchange a Class B Unit on a one-for-one basis for a share of Class A Common Stock of the Issuer. Upon such an exchange, the Issuer will cancel and retire the paired share of Class B Common Stock.
