Item 2.02. Results of Operations and Financial Condition.

On November 5, 2025, Latch, Inc. (the “Company”) filed with the Securities and Exchange Commission (the “SEC”) its Quarterly Reports on Form 10-Q for the three months ended March 31, 2024, June 30, 2024 and September 30, 2024 and its Annual Report on Form 10-K for the year ended December 31, 2024 (collectively, the “2024 Filings”).

On November 5, 2025, the Company issued a press release (the “Press Release”) summarizing select results presented in the 2024 Filings and certain preliminary 2025 information. A copy of the Press Release is furnished as Exhibit 99.1 to this Current Report on Form 8-K (this “Report”).

The information set forth in Item 2.02 (including Exhibit 99.1) shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended (the “Securities Act”), or the Exchange Act, except as expressly set forth by specific reference in such a filing.

In the 2024 Filings and the Press Release, the Company has included the “non-GAAP financial measure,” as defined in Item 10 of Regulation S-K of the Exchange Act, of net loss, excluding the impact of the following items, if applicable: (i) depreciation and amortization expense, (ii) net interest income or expense, (iii) provision for income taxes, (iv) change in fair value of warrant liability, trading securities or derivative instruments, (v) restructuring costs, (vi) transaction-related costs, (vii) net impairment of intangible assets, (viii) non-ordinary course legal fees and settlement reserves, (ix) stock-based compensation expense and (x) gain or loss on extinguishment of debt (“Adjusted EBITDA”). In the 2024 Filings and the Press Release, the Company has provided reconciliations of Adjusted EBITDA to net loss, the most directly comparable financial measure calculated and presented in accordance with generally accepted accounting principles in the United States (“GAAP”). In addition, in the 2024 Filings and the Press Release, the Company has provided an explanation of how management uses the non-GAAP financial measure of Adjusted EBITDA and the reasons why the Company believes Adjusted EBITDA provides useful information to investors.
