Regulation FD Disclosure

On February 24, 2026, the Company issued a press release announcing that the Registration Statement (as defined below) was declared effective by the U.S. Securities and Exchange Commission (the “SEC”). The press release also announces the Company’s upcoming extraordinary general meeting of shareholders, along with all relevant details of the meeting, in connection with the proposed business combination with Greenland Exploration Limited and March GL Company.

Additional Information About the Business Combination and Where to Find It

In connection with the business combination by and among Pelican, Greenland Exploration Limited (“Greenland”), March GL Company (“March GL”), and Pelican Holdco, Inc. (“PubCo”) (the “Business Combination”), Pelican filed with the SEC a registration statement on Form S-4 (the “Registration Statement”), which includes a proxy statement/prospectus of Pelican and was declared effective on February 17, 2026.
