Item 1.01. Entry into a Material Definitive Agreement.

Amendment to Merger Agreement

On January 25, 2021, ION Acquisition Corp 1 Ltd., a Cayman Islands exempted company (the “Company”), entered into an Agreement and Plan of Merger (the “Merger Agreement”) with Taboola.com Ltd., a company organized under the laws of the State of Israel (“Taboola”), and Toronto Sub Ltd., a Cayman Islands exempted company and a direct, wholly-owned subsidiary of Taboola (“Merger Sub”). Pursuant to the Merger Agreement and subject to the terms and conditions set forth therein, Merger Sub will merge with and into the Company (the “Merger”), with the Company continuing as the surviving company after the Merger. As a result of the Merger and the other transactions contemplated by the Merger Agreement (the “Business Combination”), the Company will become a direct, wholly-owned subsidiary of Taboola.

On April 27, 2021, the Company, Taboola and Merger Sub entered into Amendment No. 1 to the Merger Agreement (the “Amendment”). The Amendment amends the Merger Agreement to reflect that Taboola will be listed on the New York Stock Exchange or the Nasdaq Capital Market and that the outside date for consummating the Merger will be July 9, 2021. Other than as expressly modified pursuant to the Amendment, the Merger Agreement, which was previously filed as Exhibit 2.1 to the Current Report on Form 8-K/A filed with the Securities and Exchange Commission (“SEC”) by the Company on January 28, 2021, remains in full force and effect. The foregoing description of the Amendment is not complete and is qualified in its entirety by reference to the full text of the Amendment, a copy of which is filed as Exhibit 2.1 hereto and is incorporated herein by reference.
