Item 7.01 Regulation FD Disclosure.

This Current Report on Form 8-K (this “Form 8-K”) is being furnished by ION Acquisition Corp 1 Ltd. (the “Company”) to the U.S. Securities and Exchange Commission (the “SEC”) for the purpose of furnishing, as Exhibit 99.1 to this Form 8-K, the press release dated May 17, 2021, issued by Taboola.com (“Taboola”), with whom the Company is entering into a proposed business combination (the “Business Combination”). The press release announces Taboola’s first quarter 2021 financial results for the period ended March 31, 2021. On May 17, 2021, in addition to issuing a press release, Taboola posted on its website a shareholder letter to investors summarizing the financial results for its first quarter of fiscal year 2021. The full text of the shareholder letter is furnished as Exhibit 99.2 to this Form 8-K.
