Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 14, 2018, Philip J. Bradley resigned as a member of the Board of Directors (the “Board”) of Plastic2Oil, Inc. (the “Company”) and from each committee of the Board, effective immediately. Mr. Bradley’s decision to resign from the Board of Directors was not the result of any disagreement or dispute with the Company relating to its operations, policies or practices.
