What Item 2.02 requires

What triggers it

A public announcement of material, nonpublic results for a completed quarter or year. The company gives the date of the release, names it, and attaches its text as an exhibit (Item 2.02(a)). A results call within 48 hours of a release that was already furnished does not need its own 8-K (Item 2.02(b)).

Furnished, not filed

Item 2.02 information is furnished: it is not subject to Section 18 of the Exchange Act unless the company says it is filed or brings it into another filing (General Instruction B.2).

When it is due

Within four business days of the announcement, like most 8-K items (General Instruction B.1). Results first reported in a 10-Q or 10-K do not need an Item 2.02 8-K.
